ConocoPhillips Canada Resources Corp. (“ConocoPhillips”) seeks a right of entry order to access certain lands legally owned by 2584017 Alberta Ltd. to carry out an approved oil and gas activity, namely the construction, drilling, completing, operating and tying-in of a multi-well padsite and other associated infrastructure within a surface location in 10-19-88-24 W6M.

Upon payment of the amount set out in paragraphs 2 and 3, and subject to the terms and conditions set out in Appendix B, ConocoPhillips shall have the right of entry to and access across the portions of the lands shown outlined in red on the Individual Ownership Plan attached as Appendix “B” (the “Lands”) as necessary for the purpose of constructing, drilling, completing, operating and tying-in a multi-well padsite and other associated infrastructure in accordance with BCER Permit No. 100120778.

ConocoPhillips shall pay to the landowner as partial compensation the total amount of $40,000.00.

ConocoPhillips shall deliver to the Surface Rights Board security in the amount of $2,500.00 by cheque made payable to the Minister of Finance. All or part of the security deposit may be returned to ConocoPhillips, or paid to the landowner, upon agreement of the parties or as ordered by the Board.

Nothing in this order operates as a consent, permission, approval, or authorization of matters within the jurisdiction of the BC Energy Regulator.

APPENDIX “A” 1) ConocoPhillips (the “Operator) will make reasonable efforts to clean the vehicles associated with site preparation and soil handling equipment, offsite, prior to entering the Lands by:

a. knocking or scraping off loose soil and crop debris on all tracked or wheeled soil handling construction equipment prior to entering the Lands (the “Equipment”).

b. washing the Equipment with hot water or steam cleaning with 2% Chlorine bleach solution; and

c. ensuring the trucks used to haul the equipment are cleaned prior to entering the Lands.

2) Records of these cleaning procedures shall be provided to the Landowner on request, within a reasonable time.

3) The Operator will make reasonable efforts to ensure the soil handling Equipment used on the Lands has not recently been used in a municipality known to have clubroot infestations.

4) 2584017 Alberta Ltd. (the “Landowner”) shall be consulted prior to any spraying or herbicide application in the area subject to the Right of Entry Order. The Operator will offer to meet with the Landowner to discuss the timing of the applications, the herbicide product to be used, and the application rate.

5) The Operator will make reasonable efforts to remove all rocks with a diameter greater than 18 inches encountered during construction of the padsite and stacked in a spot in consultation with the Landowner.

6) The Operator shall ensure that any water pooling on the area covered by the Right of Entry Order is not pumped onto the Landowner’s adjoining property.

7) Cement returns from drilling operations shall be removed from the area covered by the Right of Entry Order by the Operator; on-site burial of cement returns is prohibited.

8) The Operator will make reasonable efforts to provide three weeks advance notice to the Landowner of the commencement of construction.

9) If necessary, and in consultations with the Landowner, the Operator shall install temporary or permanent fencing around the padsite at its cost, to prevent cattle from entering the area covered by the Right of Entry Order.

10) The Operator will manage the natural flow of water as outlined in the Pre-Construction Site Assessment including installing a cross-ditch culvert if necessary, on the pad site approach.

11) The Operator will make reasonable efforts to prioritize Landowner access and vehicles passage as practicable and will work with the Landowners to ensure timely passage on the access adjacent to the activity area.
